BOWFISHING ASSOCIATION OF AMERICA, INC.

ARTICLE I
THE NAME OF THIS ORGANIZATION SHALL BE:
BOWFISHING ASSOCIATION OF AMERICA, INC. (BAA)
ARTICLE II - PURPOSE
CONSTITUTION OF THE
The purpose of the BAA shall be: To foster, expand, and perpetuate bowfishing and the spirit of fellowship among all archers and sportsmen, to encourage the use of the bow and arrow in hunting all legal fish and to conduct bowfishing tournaments.


ARTICLE III - MEMBERSHIP

To be eligible for membership a person must pay annual BAA dues.


ARTICLE IV - MEMBERSHIP CLASS, DUES AND DUTIES

A. General membership (member, spouse and children under 18) with one vote per membership. Dues shall be:
I) $30.00 per year per household
II) $135.00 fee for a 5 year membership
III) $500.00 fee for a Lifetime membership


B. Duties include committee service as appointed by the President. It is also the inherent duty of all members to enlist new members and promote the BAA.

C. The membership reserves the right to suspend or expel from the BAA any member who in their opinion is guilty of acts unbecoming a sportsman. No refund will be given at time of expulsion if deemed necessary. A 2/3-majority vote of the members in attendance at any regular meeting or special meeting is necessary.


ARTICLE V - OFFICERS AND THEIR DUTIES

A. Officers shall be President, Vice-President, and Secretary-Treasurer.

B. The President shall conduct all BAA meetings, appoint all committees, and be responsible for initiating and developing the activities of the BAA including coordinating sanctioned tournaments.

C. The Vice-President shall perform the duties of the President if the President is unable to act, chair the tournament committee and coordinate the State Representatives (Directors).

D. The Secretary-Treasurer shall keep all records of the BAA, serve all notices of meetings, keep the minutes of all meetings, present a copy of said minutes to each member and the Board of Directors within 30 days of the meeting, maintain historical data, and present a written membership report at the annual meeting. In addition, the Secretary-Treasurer shall receive and disburse all monies of the BAA, keep current and accurate records of the receipts and disbursements, give written financial reports at all meetings, and submit a written annual financial report at the annual meeting, and in general perform the duties incident to the office.





ARTICLE VI - BOARD OF DIRECTORS

A. There shall be a Board of Directors consisting of the Officers, the Immediate Past President, State Representative Manager, Points Chairman, E-Journal Editor, Marketing Director, Records Keeper, Social Network Director.

B. The Board of Directors shall meet as deemed necessary by the President or any two other officers or directors with thirty days advance notice being sent to all officers and directors by the Secretary-Treasurer. The annual meeting shall also constitute a meeting of the Board of Directors.


ARTICLE VII - ELECTIONS AND TERMS OF OFFICE

A. Nominations and election of officers shall occur at the annual meeting.

I) Nominations shall be solicited by mail, e-mail and/or at the World Championship Meeting, and received no later than August 15th prior to the election year.

II) Accepted nominations shall be presented to the membership in writing on the B.A.A. Section of Bowfishing Country, and on the B.A.A. website by Sept 1st Prior to the election year.

III) Voting will occur from October 1st –November 1st On the BAA Section of Bowfishing Country, or by mail to an Officer, or e-mail to an Officer. Results will be Posted November 2nd, Prior to Annual Meeting for following year.


B. Newly elected officers shall take office at Annual Spring Meeting.

C. All officers and directors shall serve two-year terms.

D. In the event an officer or director position becomes vacant for any reason, the President or acting President shall appoint a replacement to serve the remainder of the term subject to the approval of the Board of Directors.

E. Any officer or director may be removed from office upon determination by and approval of the Board of Directors at a special called meeting, if said officer or director is not performing the duties of the position upon a majority vote of the Board of Directors.


ARTICLE VIII - FISCAL YEAR AND MEETINGS

A. The fiscal year of the BAA shall begin January 1 of each year and end on December 31 of the same year.

B. The annual meeting shall be the meeting scheduled to determine the tentative sanctioned tournament schedule, World Championship bids, and election of officers and directors. The meeting will be called by the President to take place between August 1, and December 31 and the Secretary-Treasurer shall send notice to the membership no less than thirty days prior to the meeting.

C. An informal meeting shall be held within 36 hours of the B.A.A. World Championship.

D. Special meetings shall be called, if deemed necessary, by the President, or any two officers or directors, and with no less than thirty days advance notice sent to the membership by the Secretary-Treasurer.


ARTICLE IX - SANCTIONED TOURNAMENTS

A. The BAA shall coordinate sanctioned tournaments throughout the United States by organizations and individuals willing to pay the sanction fee and administer the tournament. Coordination shall be in such manner to not conflict with other tournament dates that would be detrimental to the participation at all sanctioned events.

B. The sanction fee is $75.00 per tournament.

C. There shall be no tournament sanctioned on the date of the B.A.A. World Championship or it’s Annual Spring Meeting.




ARTICLE X - BOWFISHER OF THE YEAR

The BAA will award the Bowfisher of the Year to the bowfisher that accumulates the highest point total for participation and placement in sanctioned events and the World Championship and citation fish submitted and approved by citation chairman according to the point schedule in effect for the respective year as adopted at the Annual Meeting. Bowfisher accumulating the second highest total will receive a runner-up award.


ARTICLE XI - JUNIOR BOWFISHER OF THE YEAR

The BAA Board of Directors will award the Junior Bowfisher of the Year to the bowfisher under the age of 16 based on facts considered in resume's submitted for nomination of the award.

ARTICLE XII - TEAM OF THE YEAR

A. The BAA will award the Team of the Year to the bowfishing team that accumulates the highest point total for participation and placement in sanctioned events and the World Championship according to the point schedule in effect for the respective year as adopted at the Annual Meeting. Team accumulating the second highest total will receive a runners-up award.

I) There shall be a 2-Man Team of the Year.

II) There shall be a 3-Man Team of the Year.


ARTICLE XIII - WORLD CHAMPIONSHIP

A. The BAA Board of Directors shall award the World Championship at the Annual Meeting to the organization or individual that receives the most votes. The bid shall contain information concerning the site, functions, responsibilities and monies the organization is willing to accept for hosting the World Championship. After the bid is awarded the BAA and host will enter into a contract outlining the agreed upon site, functions, responsibilities and monies. Neither party may cause indebtedness to the other without approval of the BAA President and the host.

B. The B.A.A. World Championship shall be held on the 4th weekend of July.

C. B.A.A. World Championship voting:

I) Bids shall be submitted by either mail, email, or hand delivered written letter by August 15th of each year for the following year’s event.

II) Members shall receive written notice on Bowfishing Country and/or the B.A.A website within 30 days of the B.A.A. World Championship of all submitted bids.

III) Consideration by members of their household vote shall take place immediately. Voting will commence October 1st and shall conclude November 1st.

IV) B.A.A. World Championship winners shall be announced by November 2nd.

V) If the organization or individual winning the bid is unable to fulfill their obligations for the B.A.A. World Championship after it has been awarded to them, the organization or individual receiving the 2nd highest amount of votes shall be awarded the B.A.A. World Championship.

VI) If a catastrophe occurs within the area of the winner of the B.A.A. World Championship and the location needs to be moved, this will be decided on by vote of the Board of Directors as to the location, place, date , and all other arrangements.



ARTICLE XIV - PARTICIPATION

Participation in any BAA function is strictly voluntary and with assumed liability by the participant with no recourse toward the Officers, Directors, and other members of the BAA.


ARTICLE XV - AMENDMENTS TO THE CONSTITUTION

This constitution may be amended by a two-thirds vote of the membership present at the Annual Meeting or a special meeting called for that purpose. Advance notice of no less than thirty days is required.
